Equity or equity-like co-investment for EIF-backed fund managers proposing funding rounds for growing cleantech companies in the EU or EFTA.

If you manage a fund already backed by the European Investment Fund, you can propose an additional investment in a qualifying portfolio company. The EIF joins the same funding round on the same market terms, with an individual investment of €5 million to €15 million.

Once a proposal is approved, the investment passes through a co-investment vehicle set up and managed by your fund. The target company receives the capital from that vehicle.

Eligibility

  • The proposal must come from an EIF-backed fund manager.
  • The target company must be incorporated in an EU-27 or EFTA country and be either a small or medium-sized enterprise (SME), or a MidCap. EIF's published size overview defines a MidCap as a company outside the SME category with no more than 2,999 employees. The company must also meet the EIF Climate Action and Environmental Sustainability criteria and show strong growth potential.
  • The facility is aimed at companies moving beyond start-up stage into growth and requires technology readiness level (TRL) 7 or above. At level 7, a system prototype has been demonstrated in an operating environment.
  • Your fund must participate proportionately in the company, committing in the same round and on the same terms as the EIF co-investment. The EIF expects zero or minimal management fees and carried interest—the fund manager's performance-linked share of investment profits.
  • The new capital or operating expenditure must be incurred within three years after investment and in countries allowed by the programme. Eligible uses include tangible assets other than land, specified intangible assets, research and innovation, distribution networks, and medium- or long-term working capital.
  • The facility excludes leveraged buyouts, management buyouts and secondary transactions. Pure financial transactions without new capital spending or operating activity, ownership changes and real-estate investments are also excluded.

Contact co-investment_cleantech@eif.org and use the Approval Form linked from the product page to submit a suitable co-investment proposal. Prepare a company presentation, business plan with projections, recent accounts, debt overview and evidence that the activities meet the climate and environmental criteria.

The EIF screens the proposal and sends the investment case to the European Investment Bank for a decision. If approved, your fund sets up and manages the co-investment vehicle. Allocations are considered on a first-come, first-assessed basis.
